Terms of Service — Baby Ledger AI

Welcome to Baby Ledger AI. These Terms of Service ("Terms") govern your access to and use of the Baby Ledger AI mobile application and related services (collectively, the "Service") operated by Baby Ledger AI ("we," "us," or "our"). By creating an account, downloading, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver (Section 13). They affect your legal rights. Please read carefully.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a contract to use Baby Ledger AI. The Service is intended for parents, legal guardians, and caregivers tracking information about an infant or child in their care. By using the Service, you represent and warrant that you have the legal right to record and store information about the child(ren) whose profiles you create.

2. Accounts

To use the Service, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@babyledgerai.com

We reserve the right to suspend or terminate any account that violates these Terms or that we reasonably believe is being used fraudulently.

3. NOT MEDICAL ADVICE — CRITICAL DISCLAIMER

BABY LEDGER AI IS NOT A MEDICAL DEVICE, MEDICAL SERVICE, OR SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE.

The Service — including AI food scanning, AI baby coach chat, nutrition recommendations, portion sizes, milestone checklists, growth charts, sleep suggestions, health logs, and any other feature — is provided for informational and organizational purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or health condition.

Specifically, you acknowledge and agree that:

• Always consult a qualified pediatrician or licensed healthcare provider before making any decision that could affect your child's health, nutrition, feeding, sleep, development, or medical care.
• AI-generated responses (food scans, chat answers, nutritional analyses, portion recommendations, growth predictions, allergen warnings, and any other output) may be inaccurate, incomplete, outdated, or wrong. AI systems produce confident-sounding output that can be factually incorrect. You must independently verify all information with a qualified professional before acting on it.
• Portion recommendations, allergen introduction guidance, sleep schedules, and milestone benchmarks are generalized educational content and may not be appropriate for your specific child, who may have individual medical conditions, allergies, developmental needs, or other factors we cannot know.
• In an emergency, call your local emergency number or poison control immediately. Do not use Baby Ledger AI to make emergency medical decisions.
• We are not your child's doctor. No physician-patient, provider-patient, or fiduciary relationship is created by your use of the Service.

You assume all risk associated with decisions you make based on information from the Service.

4. Subscriptions and In-App Purchases

Baby Ledger AI is free to download and use with limited features. Paid subscriptions ("Plus" and "Pro") unlock additional features and higher daily usage limits.

Subscription Terms

• Billing: Subscriptions are billed through your Apple App Store account at the price displayed at purchase.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
• Cancellation: You can manage or cancel your subscription at any time in your Apple ID account settings (Settings → [your name] → Subscriptions). Cancellation takes effect at the end of the current billing period; no partial refunds are issued for the unused portion of a period.
• Introductory Offers: Promotional pricing (such as our Lunar New Year launch offer) applies only for the stated introductory period, after which the standard subscription price will apply automatically upon renewal.
• Refunds: All refund requests are handled by Apple, not by Baby Ledger AI. To request a refund, visit https://reportaproblem.apple.com.
• Price Changes: We may change subscription prices from time to time. Price changes will not affect your current billing cycle and will be communicated in advance per Apple's requirements.

Free Tier

Free features are provided "as is" and may change, be reduced, or be removed at any time without notice.

5. User Content and Data

You retain all ownership rights to the data you enter into the Service (your baby's profile information, feeding logs, sleep logs, photos, measurements, and any other content you create, collectively "User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your User Content solely as necessary to operate the Service for you.

You represent and warrant that:

• You have the legal right to upload and store all User Content
• Your User Content does not violate any third party's privacy, intellectual property, or other rights
• You have legal authority (as parent or legal guardian) to record and store information about any child whose profile you create

We do not claim ownership of your User Content. We do not sell your User Content. We do not use your User Content to train AI models.

6. AI Features — Food Scanning and Chat

When you use AI features, the relevant input (photo for food scanning, text for chat) is sent to our third-party AI provider (currently Google Gemini) for processing. You acknowledge that:

• AI outputs are generated by statistical models and are not reviewed by a human expert before being shown to you
• AI outputs may contain errors, hallucinations, or inappropriate recommendations
• We do not guarantee the accuracy, completeness, timeliness, or suitability of any AI output
• You are solely responsible for evaluating AI output and deciding whether to act on it
• You should never rely on AI output for medical, nutritional, allergen, or safety decisions without independent verification by a qualified professional

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Interfere with or disrupt the Service or the servers/networks connected to it
• Attempt to gain unauthorized access to any account, system, or data
• Upload malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm any person
• Upload User Content that you do not have legal rights to upload
• Resell, sublicense, or commercially exploit the Service without our written permission
• Use automated means (bots, scrapers) to access the Service
• Submit false or misleading information

We reserve the right to investigate and take appropriate action against any violation, including suspending or terminating your account.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to the practices described in the Privacy Policy.

9. Intellectual Property

The Service, including its software, design, logos, text, graphics, features, and functionality (but excluding User Content), is owned by Baby Ledger AI and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use in accordance with these Terms.

"Baby Ledger AI" and related logos are our trademarks. You may not use them without our prior written permission.

10. Third-Party Services

The Service integrates with third-party services including Supabase (database/hosting), Google Gemini (AI), and Apple App Store (payments/distribution). Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

We do not warrant that:

• The Service will be error-free, secure, or uninterrupted
• AI outputs will be accurate, reliable, or complete
• Defects will be corrected
• The Service will meet your requirements or expectations
• Any information, including health or nutrition data, is accurate or current

Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BABY LEDGER AI, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, EMOTIONAL DISTRESS, OR MEDICAL EXPENSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation of incidental or consequential damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

You acknowledge that the price of the Service reflects this allocation of risk and that we would not offer the Service without these limitations.

13. BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

13.1 Informal Resolution

Before initiating any arbitration or legal proceeding, you agree to first contact us at support@babyledgerai.com and make a good-faith effort to resolve the dispute informally for at least 60 days.

13.2 Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in the State of New York (or via video/telephonic conference at your option if the claim is under $25,000). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND BABY LEDGER AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

13.4 Exceptions

Notwithstanding the above, either party may: (a) bring an individual claim in small claims court; (b) seek injunctive or equitable relief in court to protect intellectual property rights; or (c) pursue claims that cannot lawfully be arbitrated.

13.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@babyledgerai.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and including your name, email, and a statement that you wish to opt out. Opting out does not affect any other provision of these Terms.

13.6 Survival

This Section 13 survives termination of these Terms and your use of the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless Baby Ledger AI, its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights, including the rights of any child whose information you record in the Service.

15. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may terminate your account at any time by using the "Delete Account" option in the Service's settings or by emailing support@babyledgerai.com.

Upon termination:

• Your right to use the Service ends immediately
• We will delete your account and associated data within 30 days (see Privacy Policy)
• Sections 3, 5 (last paragraph), 9, 11, 12, 13, 14, 16, and 17 survive termination

16. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. Subject to the arbitration provisions in Section 13, any legal action that is not required to be arbitrated shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

If you are a consumer located in the European Union, United Kingdom, or other jurisdiction with mandatory consumer protection laws, nothing in these Terms deprives you of the protection of the mandatory laws of your country of residence.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notification or email at least 7 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

18. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Baby Ledger AI regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms at any time without notice.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
• Apple-Specific Terms: You acknowledge that these Terms are between you and Baby Ledger AI, not Apple, and Apple is not responsible for the Service or its content. Apple is a third-party beneficiary of these Terms and has the right to enforce them against you. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Service.
